Acceptance of Terms
By accessing or using the BrAIn platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
About BrAIn
BrAIn is an AI agent platform that enables enterprises to deploy custom-built, intelligent agents tailored to their specific business needs. The Service is provided by BrAIn ("Company," "we," "us," or "our") and is accessed through our web-based Cortex Configuration Platform and associated AI infrastructure.
Definitions
- Platform — The BrAIn web application, APIs, and AI infrastructure, including the Cortex Configuration Platform and the AI engine.
- Organization — An enterprise customer entity provisioned with a dedicated tenant environment.
- brAIn — A custom AI assistant configured and deployed through the Platform on behalf of an Organization.
- User — An individual accessing the Platform under an Organization's account, assigned one of the roles: USER, ADMIN, or SYSADMIN.
- Knowledge Base — Documents, files, or other content uploaded by an Organization and used to train or inform its Agents.
- Content — Any data, text, files, or materials you submit to the Platform, including Knowledge Base documents and chat interactions.
Account Registration and Access
4.1 OAuth Authentication
Access to the Platform requires authentication via OAuth (Google or Microsoft). You are responsible for maintaining the security of your OAuth credentials and for all activity that occurs under your account.
4.2 Organizational Accounts
The Platform operates on a multi-tenant, organization-based model. Each Organization is provisioned by BrAIn's SYSADMIN team through a white-glove onboarding process. Self-service signup is not available during the current MVP phase.
4.3 Roles and Permissions
Access within the Platform is governed by role-based permissions:
- USER — May interact with Agents assigned to them and manage their personal profile.
- ADMIN — May create and configure Agents, manage Users, manage the Knowledge Base, and control Agent access within their Organization.
- SYSADMIN — BrAIn team members who manage Organizations, activate Agents, and configure technical settings across all tenants.
You are responsible for ensuring that only authorized individuals are granted access to your Organization's account.
4.4 Account Suspension
We reserve the right to suspend or terminate access for any account that violates these Terms, engages in misuse of the Service, or poses a security risk.
Use of the Service
5.1 Permitted Use
You may use the Service solely for lawful business purposes consistent with your Organization's agreement with BrAIn and in accordance with these Terms.
5.2 Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law or regulation.
- Upload Content that infringes any third-party intellectual property rights, is defamatory, harassing, obscene, or otherwise objectionable.
- Attempt to reverse-engineer, decompile, or otherwise derive source code from the Platform.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Use the Service to transmit malware, viruses, or any other malicious code.
- Share your credentials or allow unauthorized third parties to access the Platform.
- Use the Service to build a competing product or service.
- Attempt to extract training data, model weights, or proprietary AI logic from the Platform.
Knowledge Base and Content
6.1 Your Content
You retain ownership of all Content you submit to the Platform, including documents uploaded to the Knowledge Base. By submitting Content, you grant BrAIn a limited license to process, index, store, and use that Content solely to operate and improve the Service for your Organization.
6.2 Content Responsibility
You are solely responsible for ensuring that the Content you upload to the Platform is accurate, legally obtained, and does not violate any third-party rights or applicable law. BrAIn does not review Content submitted by Organizations.
6.3 Google Drive Integration
The Platform supports Knowledge Base ingestion via Google Drive. By connecting a Google Drive folder, you authorize BrAIn to access and process files in the designated folder on your behalf. You are responsible for ensuring that files shared via Google Drive comply with your Organization's data governance policies.
6.4 Knowledge Base Removal
You may remove Content from the Platform at any time through the Knowledge Base management interface. BrAIn will delete or de-index such Content in accordance with our data retention practices described in the Privacy Policy.
AI Agents and Output
7.1 Nature of AI Output
The Agents deployed through BrAIn are powered by large language models (LLMs). AI-generated responses are probabilistic and may be incomplete, inaccurate, or unsuitable for specific circumstances. You acknowledge that AI output should be reviewed by qualified humans before being relied upon for consequential decisions.
7.2 No Professional Advice
Nothing generated by a BrAIn Agent constitutes legal, medical, financial, regulatory, or other professional advice. Organizations deploying Agents in regulated domains (e.g., healthcare, legal, finance) are responsible for ensuring compliance with applicable professional standards and regulations.
7.3 Agent Configuration Responsibility
ADMIN users are responsible for the configuration of their Agents, including the guardrails, off-limit topics, and forbidden actions specified during setup. BrAIn's SYSADMIN team reviews and activates Agents, but ultimate responsibility for appropriate Agent behavior rests with the Organization.
7.4 Agent Status
Agents progress through a defined workflow (DRAFT → PENDING → ACTIVE → DISABLED). Only ACTIVE Agents are accessible to end Users. BrAIn reserves the right to disable any Agent that violates these Terms or poses a risk of harm.
Intellectual Property
8.1 BrAIn IP
The Platform, including all software, algorithms, AI models, interfaces, documentation, and branding, is the exclusive property of BrAIn and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Platform.
8.2 Feedback
If you provide suggestions, feedback, or ideas regarding the Service, you grant BrAIn a perpetual, royalty-free license to use such feedback without obligation to you.
Pricing and Payment
9.1 Pricing Structure
Pricing for the Service consists of a one-time setup fee, a monthly base fee (which includes a defined query limit), and an overage rate for usage exceeding the included limit. Specific pricing is set forth in your Organization's agreement with BrAIn.
9.2 Payment Terms
Invoicing and payment terms are governed by the agreement between your Organization and BrAIn. Failure to pay may result in suspension or termination of access.
9.3 No Automated Billing
During the current MVP phase, billing is managed manually by the BrAIn team. Automated billing integration is a planned future feature.
Service Availability and Support
10.1 Uptime Target
BrAIn targets 99% uptime for the Platform. Planned maintenance windows will be communicated in advance where possible. BrAIn does not guarantee uninterrupted, error-free service.
10.2 White-Glove Support
As part of our service delivery model, the BrAIn team provides hands-on support for agent deployment, knowledge base setup, and troubleshooting. Support scope and response times are defined in your Organization's agreement with BrAIn.
Confidentiality
Each party agrees to keep the other's confidential information ("Confidential Information") strictly confidential and not to disclose it to third parties without prior written consent. Confidential Information includes, but is not limited to, business plans, technical architecture, pricing, and customer data. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR REPUTATIONAL HARM — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF BRAIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL BRAIN'S TOTAL LIABILITY TO YOU EXCEED THE FEES PAID BY YOUR ORGANIZATION TO BRAIN IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUT. BRAIN DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT AI OUTPUT WILL BE FREE FROM ERRORS.
Indemnification
You agree to indemnify and hold harmless BrAIn and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
- Your use of the Service in violation of these Terms.
- Content you submit to the Platform.
- Your Organization's Agent configurations or deployment decisions.
- Your violation of any applicable law or third-party rights.
Term and Termination
15.1 Term
These Terms remain in effect for as long as your Organization has an active agreement with BrAIn or your account remains active.
15.2 Termination
Either party may terminate the agreement upon written notice in accordance with the terms of your Organization's agreement with BrAIn. BrAIn may immediately suspend or terminate access for material violations of these Terms.
15.3 Effect of Termination
Upon termination, your right to access the Platform ceases. BrAIn will make your Organization's Content available for export for a reasonable period following termination, after which it will be deleted in accordance with our data retention practices.
Governing Law
These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction as agreed in your Organization's contract with BrAIn. Any disputes shall be resolved through binding arbitration or the courts specified in that agreement.
Changes to These Terms
BrAIn reserves the right to modify these Terms at any time. We will notify ADMIN users of material changes via the Platform or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
